These Terms and Conditions ("Terms") govern your use of the website TheStudyPort.com ("Website") and the services offered under The StudyPort, a trademark brand of Elum Education Pvt. Ltd. ("Company"), a company registered under the laws of the Federal Democratic Republic of Nepal.
The Website is powered, built, and updated by KarmaOps, Inc. KarmaOps provides technology and maintenance only. It is not the educational counselling provider and is not a party to counselling agreements between you and the Company.
1. Acceptance of Terms
By accessing or using our Website and services, you agree to be bound by these Terms. If you do not agree, you must not use our Website or services. If you are under 18, a parent or legal guardian must review and accept these Terms on your behalf where required.
2. Regulatory framework (Niyamawali)
Where the Company provides educational counselling / consultancy services (शैक्षिक परामर्श सेवा), language teaching, or preparation classes in Nepal, those activities are subject to applicable Nepali law, including the Cabinet-approved Educational Consultancy, Language and Preparation Classes (Operation and Management) Regulations, 2083 (2026) ("Regulations" / "Niyamawali"), issued under the authority of the Ministry of Education, Science and Technology (or successor ministry), together with earlier guidelines to the extent still applicable, the Consumer Protection Act 2075, the Electronic Transactions Act 2063, and related rules.
Under the Regulations, among other things: educational consultancy services generally require a valid permit/licence from the federal Ministry; language teaching and preparation classes may be regulated at provincial or local level; operators may be required to maintain a security deposit, renew licences periodically, meet office and counsellor qualification standards, keep student records, and protect student interests. The Company will obtain and maintain all licences and deposits required for the categories of service it actually offers, and will update these Terms as implementation notices are published.
3. Nature of services
The StudyPort may provide one or more of the following:
- Student community, events, workshops, and digital content (including courses and media)
- Educational and career guidance for +2, undergraduate, and postgraduate pathways in Nepal (and, where expressly agreed in writing, information related to study options abroad)
- College / programme orientation and domestic placement support
- Related mentoring, skills programmes, and institutional partnerships
Not every interaction on the Website is a regulated "educational consultancy" engagement. Free community content, open workshops, and general information are educational resources. A formal counselling engagement begins when you and the Company enter a written service understanding (see Section 5).
4. Truthful information and student protection
In line with the Regulations and consumer law, when we provide counselling services we commit to:
- Providing information that is accurate to the best of our knowledge at the time it is given, and not knowingly misleading students or guardians about institutions, fees, scholarships, visas, admissions chances, or outcomes
- Disclosing our registration / licence details (when applicable), service scope, fees, conditions, scholarship information we rely on, and refund policy before paid services begin
- Using qualified counsellors who meet applicable minimum education or recognised training standards under the Regulations
- Maintaining a complaints / grievance channel for students who used our counselling services
- Accepting responsibility, to the extent required by the Regulations, where a student suffers loss because of misleading advice we provided in a regulated counselling engagement - including reasonable compensation for financial loss and mental distress where the law so requires. We are not liable where harm results from the student's own decisions contrary to our written advice, third-party institution conduct beyond our control, or factors outside the scope of the advice we gave
5. Written agreements, fees, and payments
Before providing paid educational counselling services, the Company will enter a written agreement (physical or electronic) specifying, at minimum: the parties; the Company's registration details; the services to be provided; counselling fees (if any); admission-related conditions known to us; scholarship information we convey; refund terms; and how disputes will be handled.
Consistent with the Regulations, fees and other payments for regulated counselling services will be processed through banking or other approved digital / non-cash channels. Cash-only arrangements for such services are not permitted. You agree to use the payment methods we designate and to keep proof of payment.
Many StudyPort community programmes, workshops, and content remain free or low-cost. Where a service is free, no counselling fee agreement is required, but these Terms and our Privacy Policy still apply.
6. No guarantee of outcomes
While we provide guidance and information carefully:
- We do not guarantee admission to any educational institution
- We do not guarantee visas, scholarships, employment, or job placement
- We do not guarantee specific academic scores or career outcomes
- Final decisions rest with the student and their guardians. Institutions and regulators make independent decisions
7. Your responsibilities
You agree to:
- Provide accurate and complete information in forms and counselling sessions
- Not use the Website for any unlawful purpose
- Not attempt unauthorized access to any part of the Website
- Not submit false, misleading, or spam content
- Respect the Company's intellectual property
- Read written agreements carefully before signing and ask questions if anything is unclear
8. Intellectual property
"The StudyPort" is a trademark brand of Elum Education Pvt. Ltd. All content on this Website - including text, graphics, logos, design, course materials, and software - is the property of the Company (or its licensors) and is protected under the Copyright Act 2059 of Nepal and applicable international intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from Website content without prior written consent from the Company, except for personal, non-commercial use permitted by law.
9. Third-party links and partners
The Website may link to third-party sites (including social platforms, YouTube, college pages, and partner tools) or refer to partner institutions. Links and partnerships are for convenience and information. Unless we expressly state otherwise in a written counselling agreement, we do not control and are not responsible for third-party content, admissions decisions, fees, or practices.
10. Limitation of liability
To the maximum extent permitted by the laws of Nepal, and without limiting any mandatory student-protection or compensation duties under the Regulations:
- The Company is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Website or general informational content
- The Company is not liable for decisions you make solely on the basis of free public content, social posts, or non-counselling materials
- Except where the Regulations or other mandatory law require otherwise, our total liability for any claim related to these Terms shall not exceed the fees you paid us for the specific service giving rise to the claim in the 12 months preceding the claim (or NPR 0 if the service was free)
- KarmaOps, Inc. has no liability to you for counselling outcomes, admissions, or advice provided by the Company
11. Indemnification
You agree to indemnify and hold harmless the Company, its directors, officers, employees, and agents from claims arising from your misuse of the Website, provision of false information, or violation of these Terms, except to the extent caused by the Company's own breach of mandatory law or proven misleading counselling advice.
12. Privacy
Personal data is handled under our Privacy Policy, Nepal's Individual Privacy Act 2075, and any record-keeping duties under the Regulations. You consent to collection and use of information needed to deliver counselling and to meet lawful reporting obligations to educational authorities.
13. Modifications to Terms
We may modify these Terms as the law, the Regulations, or our services change. Updates will be posted on this page with a revised effective date. Continued use of the Website after changes constitutes acceptance, except where a separate written counselling agreement says otherwise for that engagement.
14. Governing law
These Terms are governed by the laws of the Federal Democratic Republic of Nepal, including the Educational Consultancy, Language and Preparation Classes (Operation and Management) Regulations, 2083 (2026) where applicable, the Electronic Transactions Act 2063, the Consumer Protection Act 2075, the Individual Privacy Act 2075, and the Copyright Act 2059.
15. Dispute resolution
Raise complaints about counselling services with us first using the contact details below. We will attempt good-faith resolution. If unresolved, disputes are subject to the exclusive jurisdiction of the courts in Kathmandu, Nepal, without prejudice to any administrative remedies available under the Regulations or consumer law.
16. Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions continue in full force and effect.
